Ternbuy Promotion Agreement

Dear Ternbuy User,

Welcome to the “Affiliate Promotion” marketing feature provided by Ternbuy. This Ternbuy Promotion Agreement (the “Agreement”) is entered into between Ternbuy (“we,” “our,” or “us”) and the Promoter (“you”) who initiates participation in the Ternbuy website/application. Please note that your use of the Ternbuy promotion feature is subject to the terms and conditions set forth herein. We kindly ask that you read these terms carefully before using this feature.

Important Notice

You should carefully read and fully understand the terms of this Agreement, especially those relating to the rights and obligations of both parties, Ternbuy’s promotional operations, and the rules for obtaining and distributing bonuses. Unless you accept this Agreement and its terms, you are not entitled or required to continue using the Ternbuy promotion feature. By clicking the “I have read and agree” button, you are deemed to have fully accepted this Agreement and its terms.
Due to the rapid development of the Internet, the terms described in this Agreement may not exhaustively list or cover all rights and obligations between you and the operator, and the existing terms may not fully meet future needs. Therefore, after you sign this Agreement, we may amend its content due to development needs or changes in the execution environment. The modified Agreement will be published on the Ternbuy platform, and we will notify you through reasonable means. If you have any objections to the revised Agreement, you should immediately stop using the “Affiliate Promotion” feature. Your continued use after such publication shall constitute your acceptance of the revised Agreement. If you disagree with the proposed changes, you have the right to provide feedback before the effective date. If we accept your feedback, we will make corresponding adjustments. If you still disagree, you must stop using the service before the effective date, in which case the changes will not apply to you.

Definitions

Ternbuy: Refers to “us,” the operator of the “Ternbuy Shopping” open platform, including our website and client applications (such as mobile apps and mini-programs). Ternbuy is an e-commerce service platform providing search, browsing, procurement, and other technical services related to third-party e-commerce platforms.
Ternbuy Promoter: Refers to “you,” who log into our website and use the “Ternbuy Promotion” marketing tools and services. As a promoter, you have the capability to perform marketing activities and agree to all terms and conditions of this Agreement. You may be an individual or an organization.
Ternbuy Referee: Refers to any new user who successfully registers an account on our website/application through your exclusive QR code, registration link, or promotion link, and is bound to your account.

Affiliate Bonus

Definition and Settlement:
The Affiliate Bonus refers to the bonus calculated based on the actual international shipping fees paid by your Ternbuy referees, excluding discounts such as coupons, VIP discounts, platform discounts, and special offers. The bonus is determined according to your promotional level and corresponding commission rate. Commission rates and settlement standards are publicly listed on the Ternbuy promotion page, and we reserve the right to adjust these standards unilaterally based on business and industry needs, effective upon publication.
Forfeiture of Bonuses:
You acknowledge that we reserve the right to withhold or forfeit bonuses if any of the following occur:
- Promotion of Competing Platforms: Engaging in the promotion of other overseas shopping platforms similar to Ternbuy.
- Fraudulent Activity: Engaging in deceptive or misleading advertising, generating fake referrals or transactions, offering false discounts, using bots or emulators, manipulating data, or exploiting platform loopholes.
- Illegal Activity: Conducting promotions that violate laws, regulations, or platform policies, including but not limited to the dissemination of defamatory, violent, pornographic, or politically sensitive content.
- Platform Interference: Attacking, disrupting, or interfering with platform operations via technical or other means.
- Unfair Competition: Engaging in defamation, slander, or infringement of other promoters’ rights.
- Misuse of Personal Information: Collecting or spreading users’ personal data unlawfully.
- Breach of Contract: Violating any Ternbuy referral or commission rules.

Our Rights and Obligations

We guarantee that we and our affiliates are the lawful operators of Ternbuy.
We ensure the authenticity and reliability of promotional data provided to you.
We agree to confirm, settle, and pay bonuses on time as stipulated herein.
We maintain the confidentiality of your personal information, except in cases of force majeure.
We reserve the right to adjust, modify, or terminate the Ternbuy promotion activities, with notice to you.
We have the right to review and supervise your promotional activities for compliance. Violations may lead to suspension of your account or forfeiture of bonuses.
We reserve the right of interpretation of this Agreement.
We may collect and use platform-related data (e.g., sales volume, category, amount). You agree to use such data solely for fulfilling this Agreement.
We may suspend services due to maintenance, upgrades, or other legitimate reasons without liability.

Your Rights and Obligations

You agree to promote Ternbuy on your legally owned or operated media channels using approved promotional methods. You must ensure your content is truthful, accurate, compliant, and does not infringe third-party rights.
You must not engage in false or misleading advertising. Violation may result in disqualification, forfeiture of income, and liability for damages.
You shall provide required reports and data to evaluate performance.
You must protect our trade secrets and intellectual property.
You may access our promotional tools and receive corresponding commissions.
You have the right to offer feedback and suggestions to improve cooperation.
You may not promote competing cross-border shopping platforms. Violation will result in suspension of affiliate functions and commission loss.
You may not offer improper benefits or bribes to our employees or partners.
You may not post or distribute content that is illegal, discriminatory, pornographic, violent, or harmful.
You may not impersonate or misuse the Ternbuy name, logo, or domain variations.
You may not collect users’ personal data without consent.

Intellectual Property

We own all copyrights, trademarks, patents, and trade secrets of Ternbuy, including all text, images, audio, video, and software, excluding user-generated content. Unauthorized use or reproduction is strictly prohibited.
You shall not preemptively register or apply for any intellectual property similar to or identical with ours. Any such rights must be transferred to us free of charge upon request.

Confidentiality

You must keep all confidential information strictly secret and may not use or disclose it except as required to perform this Agreement.
This confidentiality obligation survives termination or invalidity of this Agreement.

Force Majeure and Disclaimer

We shall not be liable for any losses caused by:
- Account misuse or disclosure;
- Advertising or promotional expenses you incur;
- Suspension due to your violation of platform rules;
- Disputes between you and third parties;
- Unauthorized paid promotion methods;
- Your voluntary disclosure of personal data.
We shall not be liable for delays or failures caused by force majeure, including but not limited to natural disasters, wars, governmental actions, power failures, network outages, cyberattacks, or maintenance.

Liability for Breach

You shall indemnify us for any losses, penalties, or claims arising from your breach of this Agreement.
Upon written notice, you must rectify any violation within 3 working days, failing which we may suspend your account, terminate cooperation, and reclaim all bonuses.
If both parties are at fault, liability shall be apportioned accordingly, but our cumulative liability shall not exceed the total bonuses payable to you.

Anti-Fraud Guidelines

We have the right to monitor your promotional activities and prohibit illegal or fraudulent methods.
Fraud includes, but is not limited to:
- Traffic fraud (fake traffic, automated clicks, or manipulated metrics).
- Traffic hijacking (malware, forced redirects, DNS hijacking, etc.).
- Abnormal traffic (simulated clicks or incentivized browsing).
Serious violations will result in termination of cooperation, forfeiture of bonuses, and double-damage penalties.

Miscellaneous

Ternbuy may revise this Agreement in accordance with applicable laws and will publish updates accordingly.
This Agreement’s formation, validity, interpretation, modification, termination, and dispute resolution shall be governed by the laws of the People’s Republic of China, excluding Hong Kong, Macau, and Taiwan for these purposes.
